1. Acceptance of Terms

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

AIDex is an AI adoption and optimization platform that helps organizations assess their AI readiness, generate strategic roadmaps, calculate secure scores, manage AI vendors, and track adoption progress. The Service uses artificial intelligence to analyze assessment data and produce reports, roadmaps, scores, and other content.

3. Eligibility

You must be at least 18 years old and capable of entering into a binding agreement to use the Service. The Service is intended for business and organizational use.

4. User Accounts and Responsibilities

You are responsible for maintaining the confidentiality of your account credentials, including your password and any multi-factor authentication methods you configure. You are responsible for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access.

5. Data and Backup Responsibility

While we take reasonable measures to protect your data, you are ultimately responsible for maintaining your own backups of any data you submit to the Service. We strongly recommend that you export and back up important assessment data and AI generated reports regularly.

6. Data Breach Disclaimer

Although we implement industry-standard security measures, no system is completely secure. In the event of a data breach, we will notify affected users and relevant authorities as required by applicable law. You acknowledge that you provide data to the Service at your own risk.

7. Intellectual Property

The Service, including its software, design, branding, documentation, and all underlying technology, is owned by AIDex and protected by intellectual property laws. You retain ownership of the data you submit. You grant us a limited license to use that data solely to provide the Service to you, including processing it through AI to generate content.

8. AI Generated Content Disclaimer

The reports, roadmaps, secure scores, and other content generated by the Service are produced by artificial intelligence and are provided for informational purposes only. This content does not constitute professional advice of any kind, including legal, financial, technical, or compliance advice.

AI generated content may contain inaccuracies, errors, or recommendations that are not appropriate for your specific situation. You must exercise your own independent judgment before acting on any AI generated content. Consult qualified professionals for decisions that affect your organization's operations, security, or compliance posture.

9. Assumption of Risk

You acknowledge that the use of AI technology carries inherent risks, including the possibility of incorrect or misleading outputs. By using the Service, you voluntarily assume these risks. AIDex is not responsible for decisions you make based on AI generated content.

10. Service Availability

We strive to keep the Service available and operational, but we do not guarantee uninterrupted access. We do not offer a Service Level Agreement (SLA) and make no commitment to any specific uptime percentage. We reserve the right to modify, suspend, or discontinue the Service at any time.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI GENERATED CONTENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIDEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless AIDex and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

14. Termination

We may suspend or terminate your access to the Service at any time, for any reason, with or without notice. You may terminate your account at any time by contacting us at support@aidex.sh.

15. Law Enforcement Cooperation

We will cooperate with law enforcement authorities when required by law or when we believe in good faith that cooperation is necessary to prevent illegal activity, protect the safety of any person, or protect our rights and property.

16. Force Majeure

We are not liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including natural disasters, acts of government, pandemics, cyberattacks, and disruptions to third party services.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of laws principles. Any legal proceedings arising from these Terms shall be brought in the state or federal courts located in Texas.

18. Dispute Resolution and Arbitration

Any dispute arising from or relating to these Terms shall first be attempted to be resolved through good faith negotiation. If negotiation fails within 30 days, the dispute shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Texas, United States.

19. Class Action Waiver

YOU AGREE THAT ANY DISPUTES WITH AIDEX WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR ANY OTHER REPRESENTATIVE PROCEEDING.

20. Modification of Terms

We reserve the right to modify these Terms at any time. For material changes, we will notify you at least 15 days before the changes take effect. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

21. Severability

If any provision of these Terms is found to be unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.
